Divesting Half of Freeport’s Grasberg Mine Still Part of Talks

(Bloomberg) -- Freeport-McMoRan Inc. seemed to crack open the door to the possibility of handing majority ownership of its flagship mine to Indonesia -- as long as it gets a fair price.
The company’s priority is making sure it gets fair market value for any divestment of Grasberg, Chief Executive Officer Richard Adkerson said Tuesday. A local stock listing of about 10 percent of the venture would be a good way to start further divestment and may also be the best way to find out what the asset is worth, he said.
“We are suggesting to the government that the optimal way for us to proceed with divestment would be to start with a listing on the Indonesia stock exchange,” Adkerson said on the company’s second-quarter earnings conference call.
Freeport directly owns 81.28 percent of the outstanding stock of local unit PT-FI and has a 9.36 percent indirect stake through a subsidiary. The Indonesian government owns the remaining 9.36 percent. While Freeport has previously said it would be willing to see Indonesia’s stake rise to 30 percent, the government continues to push for 51 percent.
New Smelter
Beyond that, the Phoenix-based copper producer’s goals are to continue to be the operator of the copper and gold mine and to control its “governance,” Adkerson said. The company, the world’s largest publicly traded copper producer, must also retain the right to seek international arbitration to resolve disputes and to make financial claims against Indonesia if it fails to live up to its end of a new contract.
In addition, Indonesia wants commitments from Freeport to build a new smelter in the country, while the miner wants a broad stability agreement guaranteeing its long-term rights.
Adkerson, who expects a deal to be done by October, said the administration of U.S. President Donald Trump is showing “much greater” interest to help in the talks. He didn’t elaborate.
Grasberg is the world’s second-largest copper mine and accounted for most of the company’s 1.09 million ounces of gold production last year. Freeport generated 18 percent of its revenue from Indonesia in 2016, according to data compiled by Bloomberg.
